EasierSell Pro Seller Agreement

1.1 This Pro Seller Agreement ("Agreement") is entered into between EasierSell, Inc. ("EasierSell," "we," "us," or "our") entity name and jurisdiction - legal counsel to finalize and you, the individual or business applying to or participating in the EasierSell professional seller network ("Pro Seller," "you," or "your").

1.2 By applying to the network, clicking "I agree," or accepting and handling any item routed to you through EasierSell, you accept and agree to be bound by this Agreement, the EasierSell Terms of Service, and the Privacy Policy, each incorporated by reference.

1.3 You represent that you are at least 18 years old, legally able to enter into this Agreement, and - if applying as a business - authorized to bind that business.

1.4 This Agreement is between you and EasierSell only. It does not create an agreement between you and any consignor. legal counsel to finalize

2.1 Independent contractor. You are an independent contractor, not an employee, partner, agent, or joint venturer of EasierSell. Nothing in this Agreement creates an employment relationship. legal counsel to finalize - critical classification clause

2.2 No exclusivity (unless separately agreed). Except where a Founding Pro Seller or other program specifies otherwise, you are free to sell for others and run your own business. reconcile with any Founding Pro exclusivity terms - finalize

2.3 Your own taxes. You are solely responsible for reporting and paying all taxes on your earnings. EasierSell may issue tax documents as required by law e.g., 1099 thresholds - finalize.

2.4 Your own expenses. Except as expressly stated, you bear your own operating costs (equipment, storage, transportation, marketplace fees on external channels, etc.). finalize which costs, if any, EasierSell covers

3.1 Application and vetting. Membership in the network is subject to approval. We may require identity verification, a background check, business/reference information, and a review of your selling experience before and during your membership. vetting/background-check steps - finalize with Trust & Safety

3.2 Founding Pro Seller status. If you are accepted as a Founding Pro Seller, additional benefits and terms apply, including locked/preferred revenue share, first-pick inventory priority, charter-network status - finalize. 3.3 Ongoing eligibility. Continued membership depends on meeting the quality and conduct standards in Section 8. We may re-verify your information at any time.

3.4 No guarantee of inventory or earnings. Acceptance into the network does not guarantee any particular volume of inventory, sales, or earnings. legal counsel to finalize - important expectation-setting

4.1 How inventory is assigned. EasierSell routes consignor items ("Items") to Pro Sellers based on factors that may include category expertise, location, capacity, ratings, and Founding status. You may accept or decline offered Items subject to the process in your dashboard.

4.2 Custody and care. When you accept an Item, you take custody of it and agree to store, handle, and transport it with reasonable professional care until it sells or is returned. You are responsible for loss or damage caused by your negligence or misconduct while in your custody. reconcile with insurance/protection terms in Section 12 - finalize

4.3 Ownership. Items remain the property of the consignor (or as otherwise designated) until sold. You do not acquire ownership of any Item by accepting custody. legal counsel to finalize consignment structure

4.4 Prohibited conduct. You may not use, wear, dismantle, misrepresent, or personally retain any Item, or list Items outside approved channels without authorization.

4.5 Return of unsold Items. Unsold Items must be handled per the process and timeframe set in your dashboard return/relist/disposition process - finalize.

5.1 Your responsibilities. For each accepted Item, you agree to photograph it professionally, create accurate listings, price it reasonably, respond to buyers, negotiate in good faith, and fulfill/ship sold Items promptly.

5.2 Accuracy. Listings must be truthful and not misleading, including condition, authenticity, and specifications. For categories requiring authentication (e.g., designer apparel), you must follow EasierSell's authentication requirements. authentication process - finalize

5.3 Approved channels and pricing rules. You must list Items only through channels EasierSell approves and follow any pricing floors, minimums, or consignor-set reserves communicated to you. pricing/minimum-reserve mechanics - finalize

5.4 Compliance. You will comply with all applicable laws and the policies of any third-party marketplace you use, and will not sell prohibited, counterfeit, stolen, or recalled goods.

6.1 Revenue share. When an Item you manage sells and the sale is completed and funds clear, the net proceeds are divided as follows: X% to consignor / Y% to Pro Seller / Z% to EasierSell platform - finalize. Founding Pro Sellers receive locked/preferred share - finalize.

6.2 What "net proceeds" means. Net proceeds are the final sale price less external marketplace fees, payment processing, shipping, refunds, and any other deductions - finalize exactly what is deducted and by whom.

6.3 Payout timing. Your share is paid within Y business days - finalize after the sale is completed and any return/dispute window has closed. return-window and clawback conditions - finalize

6.4 Payout method. Payouts are made via payment method(s) - finalize to the account you provide and keep current.

6.5 No payment on unsold or returned Items. You earn only when an Item successfully sells and payment clears. If a sale is reversed, refunded, or charged back, the corresponding share may be reversed or offset against future payouts. clawback mechanics - finalize

6.6 Changes to economics. EasierSell may update standard revenue-share terms on prospective notice; Founding Pro locked terms are honored per their addendum. legal counsel to finalize change-notice mechanics

7.1 License to use the platform. We grant you a limited, revocable, non-transferable license to use the EasierSell dashboard and tools solely to perform your duties under this Agreement.

7.2 Consignor and buyer data. You will receive personal and item data necessary to do your job. You must use it only for fulfilling EasierSell duties, protect it, and not retain, sell, or repurpose it. Your handling of such data is governed by the Privacy Policy and applicable law. data-handling / DPA terms - finalize

7.3 Content you create. Photographs and listing content you produce for Items are licensed to EasierSell for platform, marketing, and resale purposes. IP assignment vs. license - legal counsel to finalize

7.4 Security. You must keep your credentials secure and promptly report any suspected breach.

8.1 Standards. You agree to maintain professional standards for listing quality, response time, fulfillment speed, communication, and customer service. Specific metrics may be published in your dashboard. quality metrics/thresholds - finalize

8.2 Ratings. Your performance may be measured through ratings and metrics that affect your access to inventory, Founding status, and continued membership.

8.3 Prohibited conduct. You will not misrepresent Items, circumvent EasierSell to transact directly with consignors or buyers introduced through the platform, harass anyone, or engage in fraud. non-circumvention clause - legal counsel to finalize

8.4 Consequences. Failing to meet standards may result in reduced inventory access, loss of Founding status, suspension, or termination.

9.1 You have the skills, licenses, and legal right to perform your duties.

9.2 The information you provide is accurate and kept current.

9.3 You will comply with all applicable laws, marketplace policies, and this Agreement.

9.4 You will not use the platform for any unlawful or unauthorized purpose. legal counsel to finalize

10.1 Item protection. EasierSell's item tracking, insured handling, and protection terms are described at Trust & Safety and apply as stated there. item protection/insurance terms - finalize and reconcile with 4.2

10.2 Your responsibility. You are responsible for loss or damage to Items caused by your negligence, misconduct, or failure to follow required handling procedures. You may be required to carry your own insurance. insurance requirement - finalize

10.3 Limitation of liability. To the maximum extent permitted by law, EasierSell's aggregate liability to you is limited to amount/formula - legal counsel to finalize, and neither party is liable for indirect, incidental, or consequential damages.

10.4 Indemnification. You will indemnify and hold EasierSell harmless from claims arising out of your breach of this Agreement, your negligence or misconduct, or your handling of Items. legal counsel to finalize

11.1 Between you and EasierSell. Governing law, informal resolution, arbitration and/or class-action waiver, venue - legal counsel to finalize.

11.2 Involving consignors or buyers. You agree to cooperate with EasierSell's dispute-resolution process for issues involving Items, consignors, or buyers. process - finalize

12.1 Term. This Agreement remains in effect while you are a member of the network.

12.2 Termination by you. You may leave the network with notice period - finalize, provided you first return or complete the sale of all Items in your custody.

12.3 Termination or suspension by us. We may suspend or terminate your membership for breach, quality failures, legal or safety concerns, or with notice / for convenience - finalize.

12.4 Effect of termination. On termination you must return all Items in your custody, cease using the platform, and complete any pending obligations. Earned-but-unpaid amounts are handled per Section 6. finalize

13.1 Changes to this Agreement. We may update this Agreement; material changes will be communicated with reasonable notice, and continued participation constitutes acceptance. Founding Pro locked terms are honored per their addendum. finalize

13.2 Entire agreement. This Agreement, together with the Terms of Service, Privacy Policy, and any Founding Pro addendum, is the entire agreement between us.

13.3 Assignment. You may not assign this Agreement without our consent; we may assign it.
